1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Africa Tech Events (registered in the Republic of Kenya) governing your access to and use of the Platform, including all subdomains, custom domains hosted by us, APIs, and related services.

By creating an account, purchasing a ticket or merchandise, listing an event, joining a tenant team, submitting a speaker profile, or otherwise using the Platform, you accept these Terms. If you use the Platform on behalf of an organization, you warrant that you have authority to bind that organization. If you do not agree, do not use the Platform.

Definitions

  • "Organizer" / "Tenant": a person or entity that registers to create, publish, or manage events, tickets, merchandise, or invoices on the Platform.
  • "Team Member": any user granted access under a Tenant's account, in any role (Owner, Admin, Agent, Support).
  • "Attendee": any person who purchases tickets or merchandise, registers for an event, or attends an event listed on the Platform.
  • "Users": Organizers, Team Members, Attendees, Speakers, and visitors collectively.
  • "Content": any data, text, images, logos, event descriptions, custom fields, or other material submitted to the Platform.

2. Nature of the Platform — We Are an Intermediary

Africa Tech Events provides technology that enables Organizers to create and manage events, sell tickets and merchandise, issue invoices, check in attendees, and communicate with their audiences.

We are not the organizer, promoter, or host of any event listed on the Platform (unless expressly stated). The contract for any event, ticket, or merchandise is between the Attendee and the Organizer.

Organizers are solely responsible for:

  • the existence, quality, safety, legality, scheduling, cancellation, or postponement of their events;
  • the accuracy of event listings, pricing, and descriptions;
  • delivery of merchandise and provision of the event experience;
  • compliance with all licensing, permits, safety, tax, and consumer protection laws;
  • their refund policies and honoring refunds owed to Attendees.

We do not guarantee any Organizer's performance, the identity of any User, or the accuracy of Content.

3. Accounts and Eligibility

  1. You must be at least 18 years old and capable of forming a binding contract to create an account or make purchases.
  2. You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account.
  3. Tenants are responsible for all acts and omissions of their Team Members, including Agents selling tickets on their behalf. Granting a role is done at the Tenant's sole risk; the Tenant must promptly revoke access for departing staff.
  4. We may refuse registration, suspend, or terminate any account at our discretion, including for suspected fraud, abuse, or breach of these Terms.

4. Organizer Obligations

Organizers shall:

  1. Comply with law, including the Data Protection Act 2019 (Kenya), consumer protection laws, tax laws (including KRA obligations and VAT invoicing where applicable), public entertainment licensing, and health and safety regulations;
  2. Register with the ODPC as a data controller/processor where required;
  3. Collect Attendee data through the Platform (including custom registration fields) only for lawful, disclosed purposes related to their events, and not collect sensitive personal data without a lawful basis;
  4. Not use Attendee contact data for unrelated marketing, sell or share it with third parties, or export it for purposes not disclosed to Attendees;
  5. Publish a clear refund and cancellation policy and honor it;
  6. Not list events that are illegal, fraudulent, misleading, or infringe third-party rights;
  7. Configure payment integrations and settlement accounts accurately and lawfully — Organizers warrant that all payment credentials and settlement accounts provided belong to them or are used with proper authorization;
  8. Use custom sender identities (email sender names, SMS sender IDs) only for identities they are lawfully entitled to use, and not to impersonate any person or brand;
  9. Be solely responsible for all taxes on their sales, and for issuing legally compliant invoices and receipts to their customers;
  10. Where hosting events for minors, obtain required parental consents and provide appropriate safeguarding.

5. Attendee Obligations

  1. Provide accurate purchase and ticket-holder information;
  2. Not resell, duplicate, or transfer tickets in violation of the Organizer's terms; not forge or manipulate QR codes;
  3. Comply with event rules, venue policies, and applicable laws when attending events;
  4. Direct event-specific complaints (quality, cancellation, refunds) to the Organizer in the first instance;
  5. Not initiate fraudulent chargebacks or payment reversals for services duly rendered.

6. Payments, Fees, and Settlement

  1. Payments are processed by third-party providers, including Safaricom M-Pesa, Paystack, DPO, and banks. By paying, you also agree to the applicable provider's terms. We do not store full card details.
  2. Platform fees, commissions, and subscription charges are as published or agreed with the Tenant and may be updated with notice. Fees are non-refundable except as required by law.
  3. Settlement of ticket revenue to Organizers occurs per the agreed schedule and method. We may withhold or offset settlements to cover refunds, chargebacks, fraud, fees owed, or amounts required by law.
  4. Chargebacks and reversals: Organizers are liable for chargebacks, payment reversals, and associated fees arising from their events, and authorize us to deduct these from settlements or invoice them.
  5. Transactions are processed in the currency set for the event (KES, USD, TZS, UGX, RWF, NGN, ZAR, GHS, or others we support). Exchange rate risk in cross-currency settlement lies with the Tenant unless agreed otherwise.
  6. Corporate invoices are payment obligations of the corporate buyer to the Organizer; we facilitate documentation only.

7. Refunds and Cancellations

  1. Refunds for tickets and merchandise are governed by the Organizer's refund policy and applicable consumer law. We may facilitate refunds technically but are not obliged to fund them.
  2. If an event is cancelled or materially changed, the Organizer is responsible for notifying Attendees and processing refunds. We may, at our discretion, suspend settlements to an Organizer to protect Attendee refunds.
  3. Platform service fees may be non-refundable to the extent permitted by law.

8. Acceptable Use

You must not:

  • use the Platform for unlawful, fraudulent, or deceptive purposes, including money laundering, ticket fraud, or scalping schemes;
  • upload malware, attempt to breach security, scrape data, reverse engineer, or overload the Platform;
  • send spam or unsolicited communications through Platform notification tools;
  • misuse check-in tools, QR codes, or agent sales tools;
  • impersonate any person or misrepresent affiliation;
  • infringe intellectual property, privacy, or publicity rights;
  • access another Tenant's data or attempt to bypass tenant isolation or role permissions;
  • use the speaker directory data for unsolicited recruitment or marketing.

We may investigate violations, remove Content, throttle or suspend accounts, withhold settlements pending investigation, and report unlawful conduct to authorities.

9. Content and Intellectual Property

  1. The Platform, its software, design, and branding are owned by Africa Tech Events and protected by law. We grant Users a limited, non-exclusive, revocable, non-transferable license to use the Platform per these Terms.
  2. Users retain ownership of their Content but grant us a worldwide, royalty-free license to host, display, reproduce, and distribute it as needed to operate, promote, and improve the Platform.
  3. You warrant that your Content does not infringe third-party rights. We may remove Content that violates these Terms or the law, with or without notice.
  4. White-label and custom-domain features do not transfer any Platform IP to Tenants.

10. Data Protection

  1. Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.
  2. For Attendee data collected on behalf of Organizers, the Organizer is the data controller and we act as processor. A Data Processing Addendum applies to Tenants and is incorporated by reference.
  3. Each party shall comply with the Data Protection Act 2019 (Kenya), the GDPR where applicable, and other applicable data protection laws.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant the conduct of any Organizer, Team Member, Attendee, Speaker, or payment provider; the accuracy of event listings; or that any event will occur as advertised. We are not responsible for failures of third-party services or for events beyond our reasonable control (force majeure).

12. Limitation of Liability

  1. To the maximum extent permitted by law, Africa Tech Events, its directors, employees, and agents shall not be liable for: indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, goodwill, data, or business opportunity; damages arising from events, Content, or conduct of Organizers, Team Members, Attendees, or other third parties; or personal injury, death, or property damage occurring at any event (which is the sole responsibility of the Organizer and venue).
  2. Our total aggregate liability for any claim shall not exceed the greater of (a) the total fees paid by you to us in the six (6) months preceding the claim, or (b) KES 50,000.
  3. Nothing in these Terms excludes liability that cannot be excluded under Kenyan law, including liability for fraud or for death or personal injury caused by our own gross negligence.

13. Indemnification

13.1 By all Users. You agree to indemnify, defend, and hold harmless Africa Tech Events, its affiliates, and their respective officers, directors, employees, contractors, and agents (the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use or misuse of the Platform;
  • your breach of these Terms, the Privacy Policy, or applicable law;
  • your Content, including claims that it infringes third-party rights;
  • any dispute between you and another User.

13.2 By Organizers (Tenants) — additionally. Each Organizer shall indemnify the Indemnified Parties against all claims and losses arising from:

  • the organization, promotion, conduct, cancellation, or postponement of its events, including personal injury, death, or property damage at events;
  • any act or omission of its Team Members, Agents, or contractors, including unauthorized access, misuse of Attendee personal data, unlawful marketing, or fraudulent ticket sales;
  • failure to obtain required licenses, permits, or insurance;
  • tax liabilities, penalties, or assessments relating to its sales;
  • chargebacks, payment reversals, refund obligations, and fraud connected to its events or payment credentials;
  • violations of data protection law in its capacity as data controller, including regulatory fines attributable to its instructions or conduct;
  • misuse of custom sender identities, impersonation, or spam sent through Platform tools.

13.3 By Attendees — additionally. Each Attendee shall indemnify the Indemnified Parties against claims and losses arising from ticket fraud, QR code manipulation or duplication, fraudulent chargebacks, unlawful resale, or the Attendee's conduct at events.

13.4 We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully. Indemnification obligations survive termination of these Terms.

14. Suspension and Termination

  1. You may close your account at any time. Tenants remain liable for obligations accrued before closure (including refunds, chargebacks, and fees).
  2. We may suspend or terminate access immediately, with or without notice, for: breach of these Terms; suspected fraud or illegality; risk to Users, the Platform, or payment providers; regulatory or law-enforcement request; or extended non-payment.
  3. Upon termination, licenses granted to you end. We may retain data as described in the Privacy Policy and as required by law. Tenants may request export of their event data within 30 days of termination.

15. Modifications to the Platform and Terms

We may modify the Platform and these Terms. Material changes will be notified at least 14 days in advance via the Platform or email. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Platform before the changes take effect.

16. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the Republic of Kenya.
  2. Parties shall first attempt to resolve disputes amicably within 30 days of written notice. Failing that, disputes shall be referred to arbitration in Nairobi under the Arbitration Act, 1995 (Kenya), by a single arbitrator. The language of arbitration shall be English.
  3. Nothing prevents either party from seeking urgent injunctive relief in the courts of Kenya, or Attendees from exercising non-waivable statutory consumer rights.

17. General

  • Entire Agreement: These Terms, the Privacy Policy, and any tenant-specific agreements constitute the entire agreement.
  • Severability: If any provision is unenforceable, the remainder stays in effect.
  • No Waiver: Failure to enforce any provision is not a waiver.
  • Assignment: You may not assign these Terms without our written consent; we may assign in connection with a merger or asset sale.
  • No Agency: Nothing creates a partnership, joint venture, employment, or agency relationship between you and us.
  • Notices: Legal notices to us must be sent to the contact below; we may notify you via the Platform or your registered email.
  • Survival: Sections 9, 11, 12, 13, 16, and 17 survive termination.
